1. About These Terms
These Terms of Service ("Terms") govern your access to and use of ScoutBird, including the ScoutBird website, account services, AI-generated market-signal analysis, Telegram alerts, and other services made available by ScoutBird (collectively, the "Service").
ScoutBird is currently offered as a beta service for testing and evaluation.
By creating a ScoutBird account, selecting the option indicating that you agree to these Terms, or otherwise using the Service after being presented with these Terms, you agree to be bound by them.
If you do not agree to these Terms, you must not create an account or use the Service.
You must be at least 18 years old to use ScoutBird.
2. What ScoutBird Is
ScoutBird is an AI-powered market intelligence and signal-analysis service.
ScoutBird analyzes market-related information and commentary published by third-party sources, including public market commentators, and uses artificial intelligence and automated analytical systems to identify and explain information that may be relevant to financial markets.
ScoutBird's analysis is generally initiated by the availability of new source information or commentary. ScoutBird does not generate an alert merely because a security's price moves or because a particular trading condition has been reached.
ScoutBird may generate derived information such as:
- summaries of market-relevant commentary;
- identification of potentially affected companies, securities, sectors, or industries;
- expected market impact;
- bullish, bearish, neutral, mixed, or similar market-impact classifications;
- analytical confidence;
- signal-risk indicators;
- factors that may reduce or invalidate the expected impact;
- relevant market context;
- historical market reactions; and
- other derived market intelligence.
ScoutBird's purpose is to help users identify, filter, understand, and evaluate potentially important market information more efficiently.
ScoutBird analyzes information. It does not decide what investment action a user should take.
3. AI-Generated and Automated Analysis
ScoutBird's analysis is generated primarily through artificial intelligence, algorithms, automated analytical systems, and structured data-processing methodologies.
ScoutBird analyzes third-party source information and generates its own derived market-impact analysis. Unless expressly stated otherwise, ScoutBird analytical outputs should not be interpreted as analysis personally prepared, reviewed, approved, or verified by a human investment professional.
AI systems may:
- misunderstand the meaning or context of source information;
- incorrectly summarize a statement;
- incorrectly identify a company, security, or affected asset;
- incorrectly infer market relevance;
- incorrectly classify a signal as bullish, bearish, neutral, or otherwise;
- overstate or understate expected market impact;
- omit important facts or context;
- rely on incomplete, delayed, inaccurate, or outdated source information;
- incorrectly assess analytical confidence or risk;
- generate inconsistent conclusions; or
- otherwise produce erroneous or misleading analysis.
ScoutBird does not guarantee that AI-generated information has been independently verified before delivery.
Users must independently evaluate any information before acting on it.
4. Signal Analysis Only — Not Investment Advice
ScoutBird provides analysis of market information, market signals, and potential market impact for informational purposes.
ScoutBird does not provide personalized investment advice and does not determine what investment action a particular user should take.
ScoutBird's analysis concerns the potential market significance of source information. It is not an assessment of whether a particular investment is suitable or appropriate for you.
ScoutBird does not currently use your:
- investment portfolio;
- financial condition;
- income;
- net worth;
- investment objectives;
- investment time horizon;
- investment experience;
- tax circumstances;
- liquidity requirements;
- individual risk tolerance; or
- other personal financial circumstances
to determine what you should buy, sell, hold, short, or otherwise trade.
ScoutBird does not represent that its analysis is suitable for any particular investor.
Nothing made available through ScoutBird should be interpreted as personalized financial, investment, legal, tax, accounting, or professional advice.
5. ScoutBird Does Not Recommend That You Buy, Sell, or Hold Securities
ScoutBird may classify the potential market impact of source information using terms such as "Bullish," "Bearish," "Neutral," "Mixed," "Positive," "Negative," or similar classifications.
These classifications describe ScoutBird's AI-generated assessment of the potential effect of the underlying information on a company, security, sector, industry, or market.
ScoutBird does not provide instructions to buy, sell, hold, short, increase, reduce, hedge, enter, exit, or otherwise transact in a position.
ScoutBird does not execute trades, transmit trade orders, manage portfolios, or exercise investment discretion on behalf of users.
They do not describe what action a particular user should take.
For example:
"Bullish" means ScoutBird's analytical system has identified information that may have a positive market effect. It does not mean "Buy."
"Bearish" means ScoutBird's analytical system has identified information that may have a negative market effect. It does not mean "Sell" or "Short."
6. Source Opinions and ScoutBird Analysis
ScoutBird distinguishes between:
Source Information — statements, opinions, recommendations, forecasts, price targets, investment actions, or other information expressed by an independent third-party source; and
ScoutBird Analysis — AI-generated analysis produced by ScoutBird concerning the potential market relevance or impact of that source information.
A recommendation, price target, trading decision, or opinion expressed by a third-party source remains attributable to that source.
ScoutBird's analysis of such information does not constitute adoption or endorsement of the source's recommendation or opinion.
ScoutBird may independently classify the expected market impact of source information. Such classifications describe potential market impact and do not constitute personalized investment recommendations.
7. No Adviser, Broker, Dealer, Fiduciary, or Client Relationship
Use of ScoutBird does not create an investment-adviser, broker-client, fiduciary, portfolio-management, financial-planning, or similar professional relationship.
ScoutBird does not determine whether an investment or transaction is suitable for you.
You remain responsible for deciding whether and how to use information provided by ScoutBird.
8. You Are Responsible for Investment Decisions
Investment and trading decisions involve risk and remain your responsibility.
ScoutBird does not control financial markets, investment outcomes, or decisions you make after receiving ScoutBird information.
You should independently evaluate information provided through ScoutBird before making an investment or trading decision.
9. Investment Risk and Assumption of Risk
Investing, trading, and holding financial assets involve substantial risk.
Financial markets may move rapidly, unpredictably, and for reasons unrelated to the information identified by ScoutBird.
You may lose some or all of the money you invest.
By using ScoutBird, you acknowledge that:
- markets may move against the direction identified by ScoutBird;
- market prices may already reflect information before an alert is delivered;
- information may become outdated within seconds or minutes;
- market reactions may differ materially from historical reactions;
- market conditions may change before you review or act on an alert;
- an apparently important signal may ultimately have no meaningful market effect;
- unrelated market developments may overwhelm the effect of a signal; and
- historical analytical performance does not guarantee future results.
ScoutBird does not guarantee profits, investment returns, preservation of capital, avoidance of losses, or any particular market outcome.
To the maximum extent permitted by applicable law, you assume responsibility for the investment and trading risks associated with decisions you make using information obtained through ScoutBird.
10. No Guarantee of Accuracy, Completeness, or Timeliness
ScoutBird receives and processes information from third-party sources and automated systems.
ScoutBird does not guarantee that any information provided through the Service is:
- accurate;
- complete;
- current;
- timely;
- correctly attributed;
- correctly interpreted;
- free from errors;
- suitable for a particular purpose; or
- sufficient to make an investment decision.
Information may be delayed, incomplete, incorrect, subsequently corrected, removed by its original source, or superseded by later events.
ScoutBird should therefore be treated as one informational input among other sources of research.
11. Historical Performance and Validation
ScoutBird may analyze historical market reactions, historical signals, or the historical performance of signals identified by its systems.
Historical analysis is provided for informational and analytical purposes only.
Past performance, historical accuracy, historical market reactions, historical signal scores, or previous analytical results:
- do not guarantee future performance;
- do not establish that a similar future signal will produce a similar market reaction;
- may be affected by selection criteria, methodology, available data, time periods, or model changes; and
- may be recalculated or revised as ScoutBird's methodology evolves.
Any Historical Signal Score or similar metric describes results produced under ScoutBird's methodology and should not be interpreted as a guarantee regarding future investment performance or as a personal investment recommendation.
Historical analysis measures what occurred following previously identified information under ScoutBird's methodology. It does not convert the original information, commentator, or historical result into a ScoutBird investment recommendation.
12. Public Sources and Third-Party Commentary
ScoutBird analyzes market commentary and information originating from independent third-party sources.
ScoutBird's role is to analyze source information and generate derived market intelligence about its potential significance.
ScoutBird does not become the author of the original commentary merely by analyzing it, and ScoutBird's derived analysis should not be attributed to the original source.
Conversely, the opinions, recommendations, predictions, price targets, or investment views expressed by an original source remain the views of that source and should not automatically be understood as recommendations or opinions made by ScoutBird.
For example, if an original commentator states that they are buying a security or provides a price target, ScoutBird may identify, summarize, classify, or analyze that statement. The original commentator's recommendation or investment action does not become a ScoutBird recommendation merely because ScoutBird analyzes it.
Where appropriate, ScoutBird provides access to or identifies the original source so users can review the underlying information themselves.
ScoutBird does not necessarily endorse, agree with, or verify the views expressed by a third-party source.
13. Corrections and Source Disputes
ScoutBird seeks to represent public source information accurately but automated systems can make mistakes.
If you are a person whose public commentary has been analyzed or referenced by ScoutBird and believe ScoutBird has:
- incorrectly attributed information to you;
- materially mischaracterized your statement;
- relied on materially inaccurate source information; or
- otherwise generated materially incorrect information relating to you,
you may contact:
ScoutBird may review the relevant information and, where appropriate, correct, annotate, restrict, or remove its derived analysis.
14. Free Beta Access
ScoutBird is currently made available to eligible beta users free of charge for a limited beta period.
Unless otherwise communicated to you, ScoutBird currently intends to provide approximately two months of free beta access from the beginning of your eligible beta period.
The stated beta period is an intended testing period and does not create an irrevocable entitlement or guarantee that ScoutBird will remain available to you for any minimum duration.
Because ScoutBird is an experimental service under active development, ScoutBird may reasonably:
- extend the beta period;
- shorten the beta period;
- change beta start or end dates;
- modify eligibility;
- modify usage limits;
- add or remove features;
- restrict access to particular features;
- suspend portions of the Service;
- discontinue the beta program; or
- transition ScoutBird to a different service model.
Where reasonably practicable, ScoutBird may provide notice of significant changes to beta access.
No Automatic Paid Conversion
The end of the free beta period does not automatically enroll you into a paid subscription.
If ScoutBird introduces paid plans or subscriptions, applicable pricing and terms will be presented separately.
Any payment obligation requiring your authorization will require the applicable subscription, purchase, or payment action before ScoutBird charges you.
15. Beta Service Risks
ScoutBird is currently under active development and may contain bugs, errors, experimental features, incomplete functionality, or unexpected behavior.
During the beta period:
- features may change frequently;
- analytical methodologies may change;
- AI models may change;
- classifications may be recalculated;
- historical results may change;
- alerts may be delayed;
- alerts may not be delivered;
- duplicate alerts may occur;
- data sources may become unavailable;
- accounts or data may require migration;
- portions of the Service may temporarily stop operating; and
- ScoutBird may reset, suspend, or discontinue experimental features.
You should not rely on the beta Service for any purpose where failure, delay, or inaccuracy could cause significant financial, business, safety, or other harm.
16. Changes to the Service and Beta Program
Because ScoutBird is under active development, ScoutBird may modify the Service where reasonably necessary or appropriate, including to:
- test new features;
- improve AI analysis;
- improve signal quality;
- modify analytical methodology;
- improve system reliability;
- address technical or security issues;
- respond to third-party platform or data-source changes;
- address legal or regulatory developments;
- prevent fraud, abuse, or misuse;
- modify beta duration, eligibility, or limits; or
- prepare for commercial launch.
Changes may include adding, modifying, restricting, suspending, replacing, or removing functionality.
Where a change materially affects use of the Service, ScoutBird may provide reasonable notice where practicable.
ScoutBird does not guarantee that any beta feature will remain available or form part of a future commercial product.
17. Third-Party Services
ScoutBird relies on independent third-party services, platforms, data providers, communication providers, authentication providers, AI providers, market-data providers, and infrastructure providers.
These may include services supporting:
- Google authentication;
- Telegram alert delivery;
- artificial-intelligence processing;
- market and public-data processing;
- email delivery;
- server infrastructure;
- networking;
- security; and
- monitoring.
Third-party services are outside ScoutBird's direct control.
ScoutBird does not guarantee the accuracy, availability, reliability, security, continued operation, or continued availability of any third-party service.
Third-party failures may cause ScoutBird alerts or features to become unavailable, delayed, inaccurate, or incomplete.
Your direct use of third-party platforms may also be governed by their own terms and privacy policies.
18. Accounts and Security
You are responsible for maintaining control of the Google account and other credentials or services used to access ScoutBird.
You must not:
- allow unauthorized persons to access your ScoutBird account;
- attempt to access another user's account;
- circumvent authentication or security controls;
- interfere with ScoutBird's infrastructure;
- obtain unauthorized access to ScoutBird systems or databases; or
- use the Service in a way that creates unreasonable security or operational risks.
You should notify ScoutBird if you reasonably believe your account has been compromised.
ScoutBird may suspend or restrict access where reasonably necessary to protect the Service, users, systems, or third parties.
19. Acceptable Use
You may use ScoutBird only for lawful purposes and in accordance with these Terms.
You must not:
- gain or attempt unauthorized access to ScoutBird systems, accounts, databases, or infrastructure;
- probe or test security vulnerabilities without authorization;
- interfere with or disrupt the Service;
- introduce malware or harmful code;
- circumvent security, access, or usage controls;
- systematically scrape or extract ScoutBird's proprietary analysis without authorization;
- redistribute substantial portions of ScoutBird's proprietary analysis as a competing service;
- impersonate another person;
- use ScoutBird to facilitate fraud;
- use ScoutBird to engage in unlawful market manipulation, insider trading, or other illegal market conduct;
- falsely represent ScoutBird analysis as independently verified professional investment advice; or
- use ScoutBird in violation of applicable law or third-party rights.
ScoutBird may investigate suspected misuse and suspend or terminate access where reasonably appropriate.
20. Intellectual Property
ScoutBird and its licensors retain their respective rights in the Service and applicable intellectual property.
Subject to rights in underlying third-party materials, ScoutBird proprietary elements may include:
- software;
- system architecture;
- interface design;
- ScoutBird branding;
- analytical methodologies;
- analytical classifications;
- derived analytical outputs;
- proprietary data structures;
- historical signal methodologies;
- documentation; and
- other original ScoutBird materials.
ScoutBird does not claim ownership of third-party source content merely because ScoutBird analyzes that content.
These Terms do not transfer ownership of ScoutBird intellectual property to you.
21. Limited Right to Use ScoutBird
Subject to these Terms, ScoutBird grants you a limited, personal, non-exclusive, non-transferable, and revocable right to access and use the beta Service for lawful personal purposes.
This right does not include permission to:
- resell ScoutBird;
- sublicense account access;
- commercially redistribute substantial portions of ScoutBird proprietary analysis;
- create a competing intelligence product using systematic extraction of ScoutBird outputs; or
- systematically extract ScoutBird data,
unless expressly authorized.
22. Feedback
You may voluntarily provide feedback, bug reports, feature requests, suggestions, or other comments concerning ScoutBird.
ScoutBird may use this feedback to operate, develop, modify, and improve the Service without payment or obligation to you.
Any personal information included in feedback will be handled in accordance with the ScoutBird Privacy Policy.
Providing feedback is optional.
23. Privacy
ScoutBird's processing of personal information is described in the ScoutBird Privacy Policy.
By creating an account, you acknowledge that you have been provided access to the Privacy Policy.
Optional marketing consent is separate from acceptance of these Terms and is not required to use the beta Service.
24. Service Communications
ScoutBird may send communications reasonably necessary to operate or provide the Service, including:
- account-related communications;
- authentication or security notices;
- service announcements;
- operational communications;
- Telegram connection messages; and
- requested market-intelligence alerts.
These communications are part of providing the Service and are separate from optional marketing communications.
If you separately opt in to marketing, ScoutBird may also send marketing communications in accordance with the Privacy Policy and applicable law.
25. Availability
ScoutBird does not guarantee that the Service will always be:
- available;
- uninterrupted;
- timely;
- secure;
- error-free;
- free from data loss; or
- compatible with every device, network, or third-party service.
ScoutBird may experience outages, maintenance periods, network failures, provider outages, technical errors, or other interruptions.
26. Suspension and Termination
You may stop using ScoutBird at any time.
You may request account deletion in accordance with the Privacy Policy.
ScoutBird may suspend, restrict, or terminate access where reasonably appropriate, including if:
- you materially violate these Terms;
- your use creates a security or operational risk;
- ScoutBird reasonably suspects fraud, abuse, or unlawful conduct;
- your use exposes ScoutBird or others to material legal or regulatory risk;
- required third-party services become unavailable;
- ScoutBird is required to act by law, regulation, court order, or competent authority;
- the beta program changes; or
- the ScoutBird beta Service is discontinued.
27. No Warranties
To the maximum extent permitted by applicable law, ScoutBird is provided on an "as is" and "as available" basis.
ScoutBird does not warrant or guarantee that:
- any market signal will be correct;
- AI analysis will be accurate;
- information will be complete;
- information will be timely;
- any relevant market event will be identified;
- all affected companies or assets will be identified correctly;
- an expected market impact will occur;
- historical results will recur;
- alerts will be delivered before market prices react;
- the Service will be uninterrupted or error-free; or
- use of ScoutBird will result in profits or prevent losses.
Nothing in these Terms excludes warranties, protections, or statutory rights that cannot lawfully be excluded.
28. Investment Losses and Limitation of Liability
ScoutBird is an informational and analytical tool and does not control financial markets or user investment decisions.
To the maximum extent permitted by applicable law, ScoutBird will not be responsible for losses resulting from investment, trading, portfolio, or financial decisions made by users.
This includes, where legally permitted, losses arising from or relating to:
- buying or selling securities;
- holding or shorting securities;
- derivatives or leveraged positions;
- missed investment opportunities;
- market losses;
- lost profits;
- inaccurate market signals;
- incorrect AI analysis;
- incorrect ticker or company identification;
- incorrect bullish or bearish classifications;
- delayed or missed alerts;
- duplicate alerts;
- incomplete source information;
- market-data errors;
- third-party service failures;
- historical analysis;
- changes in market conditions; or
- reliance on information provided through ScoutBird.
To the maximum extent permitted by applicable law, ScoutBird will also not be liable for indirect, incidental, special, consequential, exemplary, or similar damages arising from your use of, or inability to use, the Service.
You are responsible for independently evaluating information before making financial decisions.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud, fraudulent misrepresentation, or other non-excludable liability.
29. No Regulatory or Professional Endorsement
ScoutBird does not represent that the Service or any ScoutBird analysis has been reviewed, approved, endorsed, or recommended by any securities regulator, financial regulator, government authority, securities exchange, or professional investment organization.
Any reference to securities, companies, markets, financial instruments, or third-party regulatory information is provided solely in connection with ScoutBird's informational market-analysis service.
30. Changes to These Terms
ScoutBird may update these Terms as the Service, beta program, technology, business, or applicable legal and regulatory requirements develop.
Changes may be made, for example, to reflect:
- new or modified features;
- changes to the beta program;
- new third-party services;
- security requirements;
- technical changes;
- regulatory developments;
- commercial launch preparations; or
- changes in applicable law.
When ScoutBird updates these Terms, the Last Updated date will be revised.
For material changes, ScoutBird may provide additional notice and, where appropriate or legally required, require you to accept the updated Terms before continuing to use the Service.
Where permitted by applicable law, continued use of ScoutBird after updated Terms take effect may constitute acceptance of those Terms.
ScoutBird may maintain a record of the version of the Terms accepted by each registered user and the date of acceptance.
31. General Terms
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.
ScoutBird's failure to enforce any provision does not constitute a waiver of that provision.
You may not transfer your rights or obligations under these Terms without ScoutBird's consent where such restriction is legally permitted.
ScoutBird may transfer or assign rights and obligations associated with the Service in connection with incorporation, corporate restructuring, business succession, acquisition, sale, transfer, or reorganization, subject to applicable law.
These Terms, together with the ScoutBird Privacy Policy and any other terms expressly incorporated by reference, govern your use of the ScoutBird beta Service.
